COPIC Unilateral Minimum Advertise Price (UMAP) Policy

 

This Policy applies to all authorized partners, distributors, wholesalers and retailers who resell COPIC products to customers located in North America (collectively “Authorized Resellers”) This Policy is designed to support COPIC as a premium brand, and to maintain a level playing field for all Authorized Resellers.

  • Our UMAP Policy applies to all advertisements of COPIC products in any and all media, including, but not limited to Internet or similar electronic media, promotional video, email solicitations, rebate coupons, mailers, inserts, newspapers, magazines, catalogs, mail order catalogs, television, radio, and public signage.  External signage such as window signs and banners visible to the public outside the store are considered “advertising” under this policy.
  • Internet auctions may not display or have reserved bid or other acceptable prices below the UMAP Policy.
  • Online buying clubs or other membership programs may not advertise pricing below UMAP, discounts that would result in net pricing below UMAP, or in a way that diminishes the value of the brand and/or product.
  • Pricing that appears on any website is considered advertised price and must comply with the UMAP Policy. Verbiage on websites prior to placing COPIC products in the cart that indicate lower pricing or additional discounts after putting COPIC products in the cart, is considered a violation of the UMAP Policy.
  • If Too Corporation Americas (TCA), its affiliates, partners, distributors, or resellers discover that this UMAP Policy has been violated by an Authorized Reseller, the reseller will be notified.  In the case of downstream resellers from a distributor, the distributor shall promptly inform TCA of information concerning advertisements of Products below UMAP to the extent that dealer or distributor has such information or can obtain such information easier than TCA. At the time of notification, the reseller will be given the detailed amount of time in the initial correspondence to make the necessary adjustments to comply with the UMAP Policy. If the resellers has not brought advertising into compliance with the UMAP Policy within the aforementioned time period, TCA reserves the right to  remove them from the list of Authorized Distributors. Eligibility to participate in promotions or special programs such as, but not limited to, the 180-day Copic Marker Consumer Guarantee may also be suspended or revoked.
  • Affiliates, partners, distributors, and Reseller’s advertisements, promotions, campaigns, or sales for Products must state the final Price of the Product offered before taxes and/or additional fees.  Advertising of any Product must not be at a Price below the minimum price established in UMAP per Product, which includes but is not limited to Discounts (the value of any discount, rebate, credit, free item, or loyalty reward calculated at retail value in determining final price of a Product); Percentage Off (advertisements that state a percentage off that will net the Product below UMAP); Rebates (advertising of rebates MUST include the final price of the Product after the rebate, AND the rebate combined with any other form of discount or credit must not net the Price below the UMAP); or Shipping (advertising “Free Shipping” or providing a credit for shipping is not a violation of UMAP Policy unless there is a dollar value mentioned that nets a Product below the UMAP).
  • TCA reserves the right to modify, suspend, or cancel the UMAP Policy including by posting a modified UMAP policy on the TCA web site and/or by notifying all affected dealers, retailers, and resellers of such a change. Other seasonal alterations of this policy will be communicated as part of sponsored trade and consumer promotions.
